Terms of use

Draft, to be reviewed by a lawyer before launch. The final text will replace this.

DRAFT, NOT YET LEGAL ADVICE. These terms have not been reviewed by a lawyer and may change before launch. Notes in square brackets are open points for the lawyer.

1. Who these terms are between

These terms are between you (and the farm or business you act for) and [Company name, company number and address: to be added before launch]. By creating an account or using FarmLedger you agree to them. If you use it for a farm or business, you confirm you may bind it. [LAWYER: governing law (Zambia), the courts, and whether a farm accepts for its team.]

2. The beta

FarmLedger is free for the first 100 farms while it is in beta. It may change, have faults, or be withdrawn, and we may later introduce paid plans. We will tell you before anything you rely on is charged for, and we will give you time to export your records. [LAWYER: notice period for changes, withdrawal and charges.]

3. Your account and your team

Keep your password private and tell us at once if you think someone else has used your account. A farm administrator decides who is invited and with what role, and is responsible for removing people who should no longer have access. You are responsible for what is done through your account and your team's.

4. Your records

The records you enter are yours. You give us the right to store and process them only so we can run FarmLedger for you (see the privacy notice). You are responsible for checking your records, for having the right to enter other people's details (such as workers and customers), and for keeping your own backups of anything critical. You can export your farm's records from Settings. [LAWYER: what happens to records after an account closes and for how long we keep them.]

5. Not tax, payroll, legal or agronomic advice

FarmLedger is a record-keeping aid. Statutory rates, such as tax, social security and health insurance, are entered by your own administrators and approved by a second administrator; they are not official unless you have checked them against the authority's current published rates. Calculations (payroll, balances, costs) depend on what was entered. You remain responsible for your own tax and payroll returns, payments and filings, for animal-health and pesticide rules, and for any decision you make. Nothing in the app is professional advice. [LAWYER: wording of this limit.]

6. Using it properly

Do not try to reach other farms' data, probe or disrupt the service, send it unlawful or harmful material, use it to harass anyone, or let automated tools hammer it. We may limit or suspend an account that does, and the service limits repeated requests. [LAWYER: acceptable-use detail and suspension process.]

7. Programmes

Sharing a farm's information with a support programme is in design and not available to real farms. If it is ever offered it will need a separate, clear, per-category consent from the farm's administrator, which can be withdrawn at any time. [LAWYER: separate terms for programmes and for the farm's consent.]

8. Availability and no warranty

During the beta the service is provided as is, without a promise that it will be available, error-free, or that data will never be lost. [LAWYER: warranty exclusion and its limits under Zambian consumer law.]

9. Our responsibility

To the extent the law allows, we are not liable for indirect or business losses, or for losses from faults, downtime, or from decisions made using the app. Nothing here limits liability that cannot be limited by law. [LAWYER: cap on liability and what cannot be excluded.]

10. Ending

You can stop using FarmLedger and ask us to close your account at any time. We may end or suspend the service or an account as set out above. Sections that by their nature continue (for example on liability) continue after ending.

11. Changes

If we change these terms in a way that matters we will tell you in the app or by email before it takes effect; using the service after that means you accept the change. [LAWYER: acceptance mechanism.]
